1. Acceptance of Terms

By accessing or using Ryvatex™ (ryvatex.com), you agree to be bound by these Terms of Service and our Privacy Policy. If you don't agree, do not use the platform.

2. What Ryvatex™ Is

Ryvatex™ is an operational intelligence company for businesses of any industry. We operate a suite of free business tools — job-site management, scheduling and bookings, inventory, and invoicing — with AI capability (Atlas and a roster of AI agents) unlocked by a single paid subscription, and we design and build custom software (websites, custom tools, and full products) through Ryvatex Studio. The tools are Ryvatex™'s own products, offered directly to businesses. Ryvatex™ is the provider of these tools, not a reseller or intermediary for third-party software.

3. Accounts

• You must be 18 or older to create an account.
• Creating an account is free. You are responsible for maintaining the security of your password and for all activity under your account.
• You may not share personal login credentials. Businesses may invite team members through Ryvatex™'s built-in team and seat features rather than sharing a single login.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Plans & Billing

• Free tools: Ryvatex™'s four core tools (job sites, bookings, inventory, invoicing) are free to use, with no credit card required. Your data remains yours and accessible whether or not you ever pay.
• The AI subscription: AI features — Atlas and the in-tool AI, and on higher tiers the AI agent roster — are unlocked by a single recurring subscription (Starter, Pro, or Business), billed monthly or annually through Stripe. Subscriptions renew automatically until cancelled. You can cancel at any time from your account; access continues through the end of the period you've already paid for. The plain-English summary of the subscription lives at the Service Agreement; if that summary and these Terms ever differ, these Terms govern.
• Custom builds (Ryvatex Studio): Websites, custom tools, and full product builds are scoped and billed per build — typically a one-time build fee, plus a recurring subscription where AI/hosting is included — processed through Stripe.
• Refunds & taxes: If you have an issue with a charge, contact cstephens@ryvatex.com within 7 days. Applicable sales tax is calculated and collected through Stripe.

5. Prohibited Conduct

You may not:

• Use the tools for any illegal, harmful, or deceptive purpose
• Scrape, copy, or reproduce Ryvatex™ content, code, or design without written permission
• Interfere with the platform's operation or security, or attempt to access data that isn't yours
• Misrepresent your identity or your affiliation with Ryvatex™
• Use the platform for spam, phishing, or unauthorized marketing

6. Your Content & Data

The business information you enter into the tools — jobs, clients, inventory, appointments, invoices, staff, schedules, photos, notes, and similar records ("Your Content") — belongs to you. You grant Ryvatex™ a limited license to store, process, and display Your Content solely to operate and improve the tools for you and your authorized team members.

Your Content is kept private to your account and is isolated from other customers. You are responsible for having the right to store any information you enter about your own clients, staff, or third parties, and for using that information lawfully. You can export or request deletion of Your Content as described in our Privacy Policy.

7. Intellectual Property

Ryvatex™'s tools, design, code, copy, and branding are owned by Ryvatex™. Your subscription grants you a limited, non-exclusive, non-transferable license to use the tools while your subscription is active. This license does not transfer ownership of the software or any part of the platform to you.

8. Trademark Notice

RYVATEX™ and SYNC™ are common law trademarks of Ryvatex, LLC, a Texas limited liability company. These marks were first used in commerce on June 5, 2026. All rights in these marks are claimed and reserved. Unauthorized use, reproduction, or imitation of these marks in connection with any goods or services is prohibited and may constitute trademark infringement under applicable federal and state law.

The use of the ™ symbol indicates Ryvatex's claim of trademark rights in these marks. These marks are not yet registered with the United States Patent and Trademark Office; registration applications may be pending or forthcoming. Common law trademark rights arise from actual use in commerce and are enforceable regardless of federal registration.

Any third party who uses marks confusingly similar to RYVATEX™ or SYNC™ in connection with software, marketplace, or business management services — whether in domain names, business names, product names, or marketing — does so without authorization and may be subject to legal action.

9. Ryvatex™-Built Services — Branding & IP

All Custom Tools, Custom AI Agents, and any software or automations built by Ryvatex™ ("Ryvatex™ Builds") are and remain the intellectual property of Ryvatex™, regardless of who purchased or commissioned them. Payment for a Ryvatex™ Build constitutes a license to use the deliverable — it does not transfer ownership.

• Mandatory branding: All Ryvatex™ Builds must retain visible "Powered by Ryvatex™" attribution at all times. This includes any greeting messages, UI headers, footers, notifications, and any other client-facing surface where Ryvatex™ has implemented branding.
• No removal: Clients may not remove, obscure, alter, or replace Ryvatex™ branding from any deliverable. Doing so constitutes a breach of this agreement and terminates the client's license to use the build.
• No resale or redistribution: Ryvatex™ Builds may not be resold, sublicensed, white-labeled, or redistributed to third parties without prior written consent from Ryvatex™.
• No reverse engineering: Clients may not attempt to replicate, extract, copy, or reproduce the underlying prompt engineering, system architecture, or proprietary methodology used in any Ryvatex™ Build.
• Ryvatex™ retains rights: Ryvatex™ reserves the right to use anonymized descriptions of any Build (without disclosing client identity or confidential business data) for marketing, portfolio, and demonstration purposes.

These terms survive termination of any service agreement and continue in effect for as long as the client makes use of any Ryvatex™ Build.

10. Disclaimer of Warranties

The tools are provided "as is" and "as available." We make no warranties — express or implied — about uptime, error-free operation, or fitness for a particular purpose, to the fullest extent permitted by law.

For Ryvatex™-built services (including Custom Tool builds and any Custom AI Agent services): we will deliver the agreed deliverable as described at the time of purchase, but we make no warranty that any such service will produce specific business outcomes, revenue, cost savings, or efficiency gains for your particular use case.

11. No Guarantee of Results

Marketing materials, case studies, statistics, and example scenarios published on ryvatex.com (including references to productivity improvements, efficiency gains, or output comparisons) are illustrative and based on general industry observations. They are not guarantees, promises, or representations that you will achieve the same or similar results.

Individual results depend on many factors outside Ryvatex™'s control, including but not limited to: how a tool is implemented, the skill of users, the nature of your business operations, market conditions, and the accuracy of information you provide. Past performance of any tool or service is not indicative of future results.

AI-powered tools and services built by Ryvatex™ may produce errors, incomplete outputs, or responses that require human review. You are solely responsible for reviewing AI-generated outputs before acting on them. Ryvatex™ is not liable for business decisions made based on AI-generated content.

12. AI Features & Usage Data

Some tools include AI-powered features. When you use them, the relevant input you provide (such as text, job details, or photos) is sent to our AI provider, Anthropic, which processes it to generate a response and does not use it to train its models. AI features may produce errors or incomplete outputs; you are solely responsible for reviewing AI-generated content before acting on it, and Ryvatex™ is not liable for decisions made based on it.

To improve our AI features over time, Ryvatex™ also collects and analyzes aggregated, de-identified usage data — patterns such as which AI suggestions are accepted or dismissed, estimated versus actual logged hours, bid and invoice outcomes, and general feature engagement. This data is used solely to improve Ryvatex™'s features. We do not sell it. Individual customer data is never exposed to other customers — only anonymized, aggregated patterns are used. You may opt out of contributing to AI improvement at any time by contacting cstephens@ryvatex.com.

13. Limitation of Liability

To the fullest extent permitted by law, Ryvatex™'s total liability for any claim arising from use of the platform is limited to the amount you paid to Ryvatex™ in the 12 months preceding the claim. Ryvatex™ is not liable for lost profits, data loss, or consequential damages.

14. Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Any disputes shall be resolved in the courts of Dallas County, Texas.

15. Changes

We may update these terms. We'll notify registered users by email for material changes. Continued use after changes constitutes acceptance.
